OESO bestrijdt belastingontwijking met verboden wapens

Weet u hoeveel belastingen multinationals wereldwijd ontwijken met behulp van fiscale constructies? De Organisatie voor Economische Samenwerking en Ontwikkeling (OESO) weet het ook niet. Toch heeft ze aan de bestrijding ervan een hoge prioriteit gegeven. Met haar richtlijnen tast ze de grenzen af van haar eigen principes.

Belastingontwijking

De OESO heeft de strijd aangebonden met belastingontwijking door multinationals, het zogenoemde Base Erosion and Profit Shifting (BEPS). Schandalen zoals Lux Leaks en de Panama Papers hebben belastingontwijking hoog op de politieke agenda geplaatst. Door producten en diensten te verkopen aan zuster- en dochtermaatschappijen, kunnen bedrijven hun winsten naar belastingparadijzen overhevelen. Verbonden bedrijven, die deel uitmaken van dezelfde multinationale groep, handelen vaak onderling. Op zich is het niet ongewoon dat ze producten of diensten uitwisselen. Zo worden Pringles die door Kellogg’s in Mechelen worden geproduceerd eerst verkocht aan buitenlandse zustermaatschappijen en vervolgens pas aan grootwarenhuizen en dergelijke.

Het is pas problematisch als bedrijven zulke interne transacties opzettelijk verkeerd gaan prijzen. Zo verschuiven ze winsten artificieel naar landen met een lage belastingdruk. De OESO bestrijdt dit al vele jaren. Ze hanteert richtlijnen die beschrijven hoe deze transacties geprijsd moeten worden. Verbonden bedrijven moeten elkaar vergoedingen aanrekenen die onafhankelijke ondernemingen zouden overeenkomen.

Moeilijk te waarderen

In sommige gevallen is het moeilijk om de juiste vergoeding vast te stellen. Dit is onder meer het geval bij unieke patenten, knowhow en andere specifieke niet-tastbare bezittingen. Denk bijvoorbeeld aan een nieuw geneesmiddel dat niet volledig getest is. De producent is nog niet zeker dat het geneesmiddel goedgekeurd zal worden, laat staan dat de verkoopcijfers duidelijk te bepalen zijn. Op dat moment kan besloten worden dat een buitenlandse dochter het geneesmiddel verder zal testen en uiteindelijk produceren. Ondanks de onzekerheid, moet de moedermaatschappij toch een prijs vaststellen voor de licentie aan haar buitenlandse dochter. Ook de fiscus kan bij een belastingcontrole moeilijk de marktconforme waarde vaststellen. De OESO vreest dat bedrijven hier misbruik van maken. Door moedwillig te hoge of te lage prijzen aan te rekenen aan dochter- en zustervennootschappen, parkeren multinationals hun winsten in fiscaal gunstige landen.

Om zo’n misbruik te vermijden, heeft de OESO nieuwe richtlijnen uitgevaardigd. De fiscus zou de werkelijke opbrengsten als maatstaf kunnen gebruiken tijdens haar controles. Op basis daarvan kan de fiscus aanpassingen maken aan de prijs, ongeacht wat de verbonden partijen zijn overeengekomen. De OESO gaat hierbij voorbij aan het feit dat voorspellingen nooit exact zijn. Het voorspellen van marktontwikkelingen is vatbaar voor significante afwijkingen. Ook een onderneming kan met haar beste inschatting ver naast de waarheid zitten. Zo voorspelde marktonderzoeksbureau Gartner in 2010 dat er in het jaar 2014 bijna 260.000 smartphones verkocht zouden worden met het besturingssysteem Android. In 2014 zijn er meer dan een miljoen verkocht.

Als een onderneming de bal misslaat, kan ze een bijkomende rekening van de fiscus verwachten, inclusief boetes. Bedrijven moeten dan maar kunnen aantonen dat ze de toekomst onmogelijk correct hadden kunnen voorspellen. Kansen werden laag ingeschat dat Donald Trump de presidentsverkiezingen zou winnen. Achteraf is het bijna onmogelijk om aan te tonen dat het vooraf zo ondenkbaar leek.

Strijdig met eigen principes

De aanbevelingen van de OESO zijn gebaseerd op regelgeving die al decennia van kracht is in de Verenigde Staten. Daar loopt de fiscus nog steeds tegen principiële en praktische bezwaren om de regels toe te passen zonder teruggefloten te worden door het gerecht. De aanbevelingen gaan hier tegen soortgelijke bezwaren botsen. Ze zijn strijdig met de Belgische wetgeving en rechtspraak. Ook op Europees vlak rijzen er problemen met het principe van rechtszekerheid. De OESO dreigt met haar richtlijn zelfs in te gaan tegen haar eigen principes. Prijsaanpassingen zoals die de fiscus kan opleggen, zouden nooit door onafhankelijke bedrijven worden toegepast.

OESO vergaloppeert zich

In haar ijver om belastingontwijking in te dammen, legt de OESO regels op die hun doel voorbijschieten. Bedrijven lopen het risico beboet te worden voor oprechte transacties. Voorspellingen van de toekomst moeten juist zijn of hebben fiscale consequenties. Bedrijven worden geacht schuldig te zijn aan belastingontduiking, tenzij ze het tegendeel kunnen bewijzen. De hele klas wordt gestraft omdat iemand heeft vals gespeeld.
